ProLinks Virtual Services Terms of Service

Effective Date: May 14, 2025

1. Acceptance of Terms

By accessing or using services at https://prolinksvirtualservices.com.ng/web (the “Site”), you agree to be bound by these Terms of Service (“Terms”). If you don’t agree, don’t use the Site.

2. Services

We provide virtual assistance and related digital services (the “Services”). Details of offerings, pricing, and delivery terms are on the Site or in separate agreements.

3. User Accounts

To use certain Services, you must create an account.
You’re responsible for keeping your login credentials secure.
You must be 18+ or have legal authority.
You’re responsible for all activity under your account.

4. Client Obligations

Provide accurate, timely information.
Cooperate and respond promptly.
Provide all necessary access and permissions.
Failure to do so may delay or void Services.

5. Fees & Payment

Service fees are as quoted or in a signed agreement.
Payments due upfront or per agreed schedule.
Late fees or suspension may apply for overdue invoices.

6. Cancellation & Refunds

Cancel anytime by email with 7 days’ notice.
Refund eligibility depends on service type and work performed.
(For example: non-refundable deposits if work has started.)

7. Intellectual Property

You retain ownership of any intellectual property you provide.
We retain ownership of tools, templates, and processes we develop—except where otherwise agreed in writing.
Upon full payment, you receive a license to use deliverables for their intended purpose.

8. Confidentiality

Each party must protect the other’s confidential info and not disclose it to others, except as required by law.
These obligations survive contract termination.

9. Warranties & Disclaimer

We aim for high-quality Services but provide no guarantees of specific results.
ALL SERVICES ARE PROVIDED “AS IS.” WE DISCLAIM ALL WARRANTIES TO THE MAXIMUM EXTENT PERMITTED BY LAW.

10. Indemnification

You agree to defend, indemnify, and hold us harmless from any claims, losses, liabilities (including legal fees) arising from your use of the Site or violation of these Terms.

11. Limitation of Liability

WE WILL NOT BE LIABLE FOR INDIRECT, CONSEQUENTIAL, OR INCIDENTAL DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED FEES PAID BY YOU IN THE SIX (6) MONTHS BEFORE THE CLAIM.

12. Termination

We may suspend or terminate your access for violation of these Terms, non-payment, or legal requests.
You can terminate by written notice.
Post-termination, your rights under Sections 7 (IP), 8 (Confidentiality), 10 (Indemnity), and 11 (Liability) survive, as does any accrued payment obligation.

13. Governing Law & Dispute Resolution

Nigerian law governs these Terms.
Disputes unresolved amicably within 30 days will go to arbitration in Abuja under the Arbitration and Conciliation Act (Cap. A18, Laws of the Federation of Nigeria, 2004).

14. Changes to Terms

We reserve the right to modify these Terms at any time by posting changes on the Site. Material changes will come with notice via email or Site announcement. Continued use after changes implies acceptance.

15. Entire Agreement

These Terms, together with any Service-specific agreements, form the entire agreement. They override all prior discussions. Any amendments must be in writing and signed by both parties.
